General Terms and Conditions


The following Terms & Conditions are fairly standard for most web sites providing content, products and downloads. 1. Introduction

This Agreement is a legal document which sets out your rights and obligations, and those of Equilibrium Centre Limited, a company registered in England under registration no. 07059955 ('Equilibrium Centre', 'we' or 'us'), in relation to this site and the products and services offered by Equilibrium Centre ('Equilibrium Centre Products and Services') through it. By accessing this site, you agree to the terms of this Agreement, and you re-affirm that agreement every time you visit it. You should be aware that this Agreement may change from time to time in accordance with Clause 11 below.

2. Privacy policy

Equilibrium Centre's Privacy Policy forms part of this Agreement, and by agreeing to this Agreement, you also give your consent to the way we may handle your personal data in that policy.

3. Additional services

Equilibrium Centre may offer new or additional services through the Equilibrium Centre Products and Services from time to time. Your use of those services may be subject to additional terms and conditions, or rules of use, which you must comply with. Provided that those terms or rules are notified to you on the Equilibrium Centre Products and Services in an appropriate manner (as determined by Equilibrium Centre in its reasonable discretion), any failure by you to comply with a material provision of the terms or rules governing those services will amount to a breach of this Agreement.

4. Operation of Equilibrium Centre Products and Services

Equilibrium Centre reserves the right to withdraw or modify one or more aspects of the Equilibrium Centre Products and Services where we have legal or technical reasons to do so (including technical difficulties experienced by Equilibrium Centre or on the internet). There may also be times when the Equilibrium Centre Products and Services become unavailable, whether on a scheduled or unscheduled basis. For security or other reasons, we may require you to change password or other information which facilitates access to the Equilibrium Centre Products and Services.

5. Disclaimers

Your use of the Equilibrium Centre Products and Services is entirely at your own risk.

Accordingly, to the extent that the law permits, you release Equilibrium Centre, its directors, contractors and employees from all liability arising out of or in connection with the Equilibrium Centre Products and Services and the material included here.

You are entirely responsible for any risks relative to the utilisation, results or performance of these products and services.

6. Intellectual Property

You acknowledge that all copyright, trade marks, and other intellectual property rights in and relating to the Equilibrium Centre Products and Services are owned by Equilibrium Centre and you may only use them with the consent of the company.

7. Excluded loss

Equilibrium Centre shall in no event be liable to you or a third party for the indirect or consecutive damages, nor specific damages relative to ownership, the use or the wrongful use of this product and, within the limits provided by law, damages in case of bodily injury, even if Equilibrium Centre has been informed of such possible damages or losses. Equilibrium Centre will also not be liable for any failure to perform of its obligations under this Agreement caused by matters beyond its reasonable control.

8. Maximum Liability

You wholly accept that, in case of legal claim (contract, prejudice, or other) the liability of Equilibrium Centre shall not exceed the price value originally paid for by you for the use of Equilibrium Centre Products and Services.

9. Assignment

We reserve the right to assign this Agreement, and to assign or subcontract any or all of our rights and obligations under this Agreement. You may not without the written consent of Equilibrium Centre assign or dispose of this Agreement.

10. Entire Agreement

This Agreement includes our Privacy policy. Together they contain the whole of the agreement between us and you concerning the Equilibrium Centre Products and Services and they replace all earlier agreements and understandings with you, except for any fraud or fraudulent representation by either of us. A person who is not a party to this Agreement has no right under the Contracts (Rights of Third Parties) Act 1999 to rely upon or enforce any term of this Agreement.

11. Changes to this Agreement

Equilibrium Centre reserves the right to change this Agreement from time to time, and post the new version on the Equilibrium Centre website. When we do so, we will notify you of the fact that there are changed terms on www.equilibriumcentre.org.uk and the new version of these terms and conditions will take effect immediately upon posting, and will govern all Equilibiuim Centre Products and Services and your relationship with Equilibrium Centre.

12. Severability

In the event that any term of this Agreement is held to be invalid or unenforceable by judicial decree or decision, the remainder of this Agreement shall remain valid and enforceable.

13. Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
